CONSTITUTION AND BYLAWS
ARTICLE I Name
Section 1. This organization shall be named the "GUTHSVILLE ROD & GUN CLUB, INCORPORATED."
Section 2. It shall be a non-profit organization located in South Whitehall Township, Lehigh County, Pennsylvania.
ARTICLE II Objectives
Section 1. The purpose of this club shall be:
- To promote and encourage sportsmanship, the practice of field sports, outdoor activities, indoor shooting sports and activities, and conservation in all of its related forms.
- To provide for the preservation, propagation, and conservation of all forms of fish and wildlife.
- To inform, educate, encourage and instruct young people in these various activities.
- To work with or be associated with any other group or organization for the betterment and promotion of any activities mentioned or implied in these articles.
- To acquire and maintain permanent quarters for these purposes, for social purposes, for the furtherance and promotion of good fellowship, neighborliness and friendship.
ARTICLE III Officers
Section 1. The elective officers of this club shall consist of the following: President, First Vice President, Second Vice President, Treasurer, Membership Secretary, Recording Secretary, and four (4) Trustees, each to serve a term of four (4) years, with staggered terms.
Section 2. Appointive Officers shall consist of Executive and /or Administrative Officers appointed by the President with the consent of the Board of Directors.
Section 3. The Board of Directors shall consist of all the regularly elected officers of the club and the immediate past President.
Section 4. Quorum.
- A quorum for the transaction of business at any regular or special meeting shall consist of ten (10) members in good standing.
- A quorum of the Board of Directors shall consist of a majority of the Directors.
- A quorum of any committee shall consist of a majority of the members of the committee.
ARTICLE IV Election of Officers
Section 1. The elective officers of the club, excepting the trustees, shall be elected at the November meeting, to serve for a one year term. The terms shall commence with the regular January meeting. One trustee shall be elected annually, in November, to serve a term of four (4) years.
Section 2. A nominating committee of three (3) or more regular members shall be appointed by the President at the September meeting. This committee shall present a list of nominees at the October meeting. Nominations may be accepted from the floor from any active member present. There shall be no nomination at the November meeting.
Section 3. Election shall be by voice vote with the majority vote by the members present deciding the election.
Section 4. In the case of a tie for any office, a runoff election shall be held immediately.

Section 6. All newly elected officers shall be installed and assume office at the first regular meeting of each calendar year. The following oath of office shall be administered:
"Do you most solemnly promise before God, upon your honor, that you will truthfully and faithfully, and to the best of your ability perform the duties of your office for the ensuing term, as prescribed in the Constitution and By-Laws of the Guthsville Rod and Gun Club; and as an officer of this organization, you will at all times endeavor, both by counsel and example to promote sportsmanship in all activities related to this organization. Do you further promise that at the close of your official term, you will promptly deliver all monies or property of this organization in your possession, to your successor in office."
Repeat: " I do so promise."
Section 7. Any vacancy in an elective office shall be filled by the President at the next meeting of the Board. A majority vote of the Directors shall be required to fill the vacancy. The members of the club shall be notified at the next regular meeting.
Section 8. Any elected officer who is absent from two consecutive meetings (regular and Board), without being excused, may be removed from office by the President with the consent of the Board of Directors. The officer shall be notified of the action in writing, and the members shall be informed of the action at the next regular meeting.
Section 9. After the annual election of the officers, and prior to the installation of the new officers, each incumbent shall transfer to his successor, all property, records, books, accounts and material in their possession pertinent to the particular office under their jurisdiction. This action shall be noted by the Recording Secretary.
Section 10. When the office of the Treasurer becomes vacant, the Board of Directors may cause a complete audit of all books, records, property, accounts, monies and other material pertinent to the particular office. If otherwise in order, the Board of Directors shall make proper transfer to their successor. This action shall be noted by the Recording Secretary.
ARTICLE V Duties of Officers
Section 1. Duties of the President:
- He/she shall be the chief executive officer of the club.
- He/she shall be a member, ex-officio, of all committees.
- He/she shall preside at all meetings of the club and of the Board of Directors.
- He/she shall appoint all committees with the advice and consent of the Board of Directors.
- He/she shall appoint all delegates and alternates to represent the club with other organizations.
- He/she may delegate, with the consent of the Board of Directors, such responsibilities as are required for the proper conduct of the business of the club.
Section 2. Duties of the First Vice President:
- He/she shall preside at any regular, special, or Board of Directors meeting in the absence of the President.
- He/she shall be a member, ex-officio of such committees as the President may direct.
- He/she shall be Chairman of the Special Functions committee.
Section 3. Duties of the Second Vice President:
- He/she shall preside at any regular, special, or Board of Directors meeting in the absence of the President and First Vice President.
- He/she shall be a member, ex-officio, of such committees as the President may direct.
- He/she shall assist the First Vice President with all special functions.
Section 4. Duties of the Recording Secretary:
- He/she shall keep an accurate and permanent record of all of the proceedings of the membership and Board meetings.
- He/she shall conduct all correspondence for the club which is not otherwise assigned by the President.
- He/she shall establish and maintain permanent files and records pertinent to the activities of the club.
- He/she shall perform such other activities as prescribed by the Board of Directors or the club membership.
Section 5. Duties of the Membership Secretary:
- He/she shall receive all money for dues and initiation fees of the club. Upon proper accrediting, they shall forward the money to the Treasurer.
- He/she shall issue to all members in good standing, upon receipt of their annual dues, a proper membership card. They shall maintain an accurate record of all classes of membership.
- He/she shall issue special, courtesy and other types of membership cards as directed by the Board of Directors.
- He/she shall keep a record of all monies received for membership.
- He/she shall give a report of the number of members in each category at each monthly meeting.
- He/she shall deliver their reports to the Recording Secretary if he/she is unable to attend any regular meeting.
Section 7. Duties of the Treasurer:
- He/she shall keep a record of all receipts and expenditures of the club.
- He/she shall establish and keep proper financial records using accepted accounting practices.
- He/she shall disburse funds upon receipt of a proper invoice or voucher.
- All checks issued by the club shall be signed by two officers of the Board whom have been properly designated by the Board and the bank on which the check has been issued.
- A petty cash account, of an amount to be determined annually by the Board of Directors, may be maintained by the Treasurer, or his/her designee, and must be balanced monthly.
- He/she shall furnish a report of the club treasury at each regular meeting and at such times as the Board of Directors may direct.
- He/she shall furnish a general report of all receipts and expenditures at each regular meeting or at such times as the Board of Directors may direct.
- He/she shall present a financial statement annually for the previous year.
- He/she shall present an annual report of all transactions of his/her office.
- He/she shall present all records and accounts to an auditing committee at times directed by the Board of Directors.
- He/she shall deliver his/her books and reports to the Recording Secretary if unable to attend any regular meeting.
- He/she shall receive all monies due to the club from any source, and shall furnish appropriate receipts for same. He/she shall deposit monies received in a depository designated by the Board of Directors, with a record of all deposits made to the club account.
Section 8. Duties of the Executive Officer:
- The President, with the consent of the Board of Directors, may appoint an Executive or Administrative Officer, who shall serve at the pleasure of the President and the Board of Directors. He/she shall perform such duties and carry such responsibilities as may be assigned to him/her.
Section 9. Duties of the Trustees:
- The trustees shall have charge of all real and personal property of the club.
- One Trustee shall be a member of any permanent or temporary committee that directly or indirectly has to do with club funds and finances.
- The Trustees shall bring to the attention of the club membership and the Board of Directors any practice or condition which in their opinion, is or may be detrimental to the best interest of the club. Any club member is encouraged to bring such matters to the attention of the Trustees.
- The Trustees are empowered to suspend action by the membership or Board of Directors if, in their opinion, this action is counter to the spirit of the Constitution and By-Laws, or if it will place the club in jeopardy. When such action is taken, the Trustees are empowered to expend such funds as necessary to carry the provisions of this paragraph.
- They are further empowered to call any special meeting of the Board of Directors or the club membership when in their opinion such action is desirable.
Section 10. Board of Directors:
- The Board of Directors shall meet monthly at such times as determined by the Board.
- Meetings of the Board of Directors shall be Executive Sessions, and attendance shall be limited to Directors and such other persons as they may invite.
- The directors shall formulate the general policies of the club, set a program for the regular meetings and recommend business for the consideration of the club.
- They shall establish a proper fiscal policy for the club and shall annually amortize the club indebtedness.
- They shall keep the club membership informed of the status of the club in all matters.
- They shall be responsible for all operations of the club and facilities. They shall have the power to employ help to pay for these operations.
- They shall be responsible for the purchase of all supplies, foods, refreshments, etc. required in the operation of the club.
- It shall be the duty of the Board of Directors to establish and enforce all rules of the club.
- They shall have the power to delegate any of the above authority when deemed necessary.
- They shall constitute the general executive and administrative authority of the club.
- The Board of Directors shall be responsible to see that the mandate of the club members is carried out or proper reasons given as to why they cannot be
complied with, and they shall be responsible to the club members to safeguard, conserve and improve the property and assets of the club.
Section 11. Payment of expenses to the Board of Directors shall be set by the Board of Directors, for the following year, at the August meeting.
ARTICLE VI Membership
Section 1. Types of Membership:
- Charter memberships shall be members at the first two meetings of the club.
- Life members shall be active members who have been selected by the Board of Directors for outstanding contribution to the club or the principles for which the club stands. All officers who have served six (6) years shall receive a Life Membership. A member meeting these qualifications shall be exempt from the further payment of dues.
- Life members shall be active members who have attained the age of sixty-five (65) and who have been active members of the club for ten (10) consecutive years immediately prior to attaining age sixty-five. A member meeting these qualifications shall notify the Membership Secretary in writing, and upon approval of the Board of Directors shall be exempt from payment of dues.
- Regular members shall be those individuals eighteen (18) years of age or older who have met the requirements listed below.
- Completed an application for membership and submitted the required fees.

- Have received the unanimous approval of the membership present at a regular meeting.
- Applicants may not use the club grounds until they are accepted as members and have received their membership card.
- Applicants who are rejected for membership shall have all monies refunded. They may not reapply for membership for a period of one year.
- Members, once approved, shall remain in good standing as long as annual dues are paid, and can only be removed from the rolls by disciplinary action recommended by the Board of Directors and approved by the members present at a regular meeting.
- Courtesy memberships may be awarded by the Board of Directors for a period not to exceed one year. Courtesy members shall have all privileges of a regular member except for voting.
- All elected officers shall receive membership for the current year.
Section 2. Junior Memberships:
- Any individual between the ages of twelve (12) and eighteen (18), after proper proposal and acceptance by the regular membership and payment of the specified initiation fees and dues, may become a junior member.
- Individuals applying for junior memberships must be sponsored by a regular member who will be responsible for the conduct of the junior member. The application shall be approved by two regular members and accepted by the club in the manner stipulated for regular members.
- Junior members may participate in appropriate club activities and meetings, but may not vote or hold office in the regular club.
- Junior members will automatically become regular members upon reaching the age of eighteen (18) and upon the payment of regular dues.
Section 3. Complaints Against Members:
- Any member of the club may file a complaint against any another member or employee of the club for violations of the club rules and regulations.
- Complaints shall be presented, in writing, to the Board of Directors. The Board of Directors must investigate the complaint and take appropriate action within sixty (60) days of receipt of the complaint.
- When the Board of Directors has reason to believe that a violation has occurred, the member accused of the violation shall be notified by certified letter of the charges. Such notification shall be made fifteen (15) days prior to the time the violation is to be formally investigated by the Board of Directors.
- The accused member must be given the opportunity to appear in his defense. Failure to appear or to give satisfactory reason for not appearing shall result in automatic expulsion from membership of the club.
- Any member found to be in violation of the rules or regulations, or of conduct detrimental to the best interest of the club, by the Board of Directors, shall be penalized as prescribed by the Board of Directors and approved by a majority vote of the members present at any regular or special meeting.
- In case of serious charges, the Board of Directors is empowered to suspend a member for a period not to exceed sixty (60) days, pending formal investigation of the complaint.
ARTICLE VII Initiation Fees and Dues
Section 1. The initiation fee and annual dues for the following year shall be set by the Board of Directors at the August meeting.
- Annual dues are payable on or before December 31.
- Members failing to pay their dues by December 31 will be dropped.
- Members dropped for non-payment of dues or other assessments can be reinstated only by submitting a new application for membership and payment of the proper initiation fees and dues.
- The annual dues shall be waived for any member in good standing who enters the Armed Forces.
- Junior members shall pay 50% of the initiation fees and dues as prescribed for regular members.
ARTICLE VIII Meetings
Section 1. Regular business meetings shall be held at a time and day set by the Board of Directors.
Section 2. Special meetings, for stated purposes, may be called by the President, the Board of Directors, or upon petition by (15) members.
ARTICLE IX Committees
Section 1. Committees can be appointed for any activity that is related to the functions and purposes of the club.
- Committees shall submit recommendations to the President and Board of Directors, and shall carry out these recommendations as approved by the Board or the club membership.
- Each committee shall keep appropriate records and make written reports to the club.
- The pertinent records of a committee shall be transferred to their successor.
ARTICLE X Subsidiary and Related Organizations
Section 1. Subsidiary organizations may be formed within the club, with the consent of the membership, to further the objectives of the club.
- Subsidiary organizations will be under the jurisdiction of one of the club vice presidents.
- Subsidiary organizations may elect their own officers, have their own by-laws, assess dues, and in general conduct their affairs providing that they do not conflict with the parent club.
- Subsidiary organizations may not commit the parent club to any action or activity without prior consent of the club.
- Activities, affairs, action, conduct, etc., of subsidiary organizations are subject to the review of the Board of Directors.
- Monies and properties accrued by any subsidiary organization shall become the property of the parent club upon discontinuance of the subsidiary organization.
Section 2. Upon recommendation of the Board of Directors and with the approval of the club membership, the club may support and participate with other organizations, associations, federations, and public or semi-public agencies whose aims and purposes are in accord with this club.
ARTICLE XI Monies
Section 1. All monies received by this club shall be placed and accounted for in one general treasury.
Section 2. Expenditures of funds shall be approved by a majority vote of the members present at any regular or special meeting, except for the payment of bills for routine services and as provided in Article XI, Section 3.
- Expenditure of funds for any purpose may not exceed the allocation.
- An authorization to expend monies for specific purposes shall be automatically rescinded at the close of the fiscal year, if the project is not started.
Section 3. The expenditure of funds not to exceed Three Thousand Dollars ($3,000.00) may be approved by the Board of Directors. In addition, The Board is authorized to expend such funds as are necessary to conduct functions at special club days.
ARTICLE XII Amendments
Section 1. The Constitution and By-Laws may be amended in the following manner:
- Proposed amendments may be submitted by any regular member of the club.
- The amendment shall be submitted to the Recording Secretary, in writing, listing the reasons for the amendment. The amendment shall be submitted to the members present at any regular meeting. Further consideration shall require the majority vote of the members present.
- The proposed amendment shall be read at three consecutive regular meetings. Following the third reading, a vote shall be taken. Approval by two-thirds (2/3) of the members present shall be required for adoption.
- Amendments shall become effective the first day of the month following their adoption unless otherwise stated at the time of adoption.
ARTICLE XIII Club Assets
Section 1. The assets of this club belong to all regular members, and all shall share equally.
Section 2. The Board of Directors are empowered to dispose of excess materials and equipment.
Section 3. When circumstances exist which create the possibility of dissolution of the club, the following procedure shall be used:
- The Trustees shall investigate the matter and call a meeting of the club members to consider the matter. If the proposal to liquidate the club is approved by two-thirds (2/3) of the members present, dissolution proceedings shall be initiated.
- The Trustees shall represent the club during the liquidation proceedings and are empowered to retain legal counsel, seek the assistance of the courts of Lehigh County, and take such other action as is required to see that the interest of the members is protected.
ARTICLE XIV Removal of Officers
Section 1. Elected officers of the club may be removed from office for:
- Misfeasance of office.
- Malfeasance of office.
Section 2. Proceedings for removal of office shall be initiated as provided for under Article VI, Section 3.
ARTICLE XV General Order of Business
Section 1. The general order of business at any regular meeting shall be:
- Call to order
- Roll call of officers
- Reading of the minutes of the previous meeting
- Treasurer's report
- Membership Secretary's report
- Committee reports
- Unfinished business
- New business
- Reading of petitions and communications
- Election of officers
- Good of the order
- Adjournment
The presiding officer is empowered to modify the order of business.
Section 2. The proceedings and actions at any meeting of the club shall be governed by "Robert's Rules of Order".
ARTICLE XVI Responsibility
Section 1. The Guthsville Rod and Gun Club, Incorporated, being a self-sustaining, non-profit organization, hereby assumes no responsibility for accidents of any nature on or off the club property.
The preceding Constitution and By-Laws were submitted to the club members at regular meetings held on the following dates:
GROUND RULES
The following regulations apply to all buildings and grounds belonging to the club. Special regulations applying to ranges are listed separately.
- Park only in the designated areas adjacent to the ranges.
- Cars are not permitted on the trap range.
- The speed limit on the club grounds is 15 miles per hour.
- Snowmobiles are not permitted on the club grounds, beyond the club house.
- No swimming in the pond or stream.
- Children must be under the proper supervision of their parents or guardian when on the club grounds.
- No tampering with installations in the stream.
- Dogs must be on leash unless being trained or hunted.
- Quick draw activities are prohibited on the club grounds.
- Children under 16 years of age, who have not completed a Hunter Safety Course, may not discharge firearms on the club grounds unless under the supervision of the parent or guardian.
- Always sign in before using the ranges.
- No littering. Use the trash cans which are provided.
- Take care of the club facilities, since as a member, you have an interest in protecting them from damage or misuse.
- Inform the Board of Directors of any violations.
- No guests are permitted except for registered shoots or any trap shoot sponsored by the club.
RANGE RULES
The following regulations apply to all ranges. Special rules applicable to specific ranges are listed separately.
- No shooting before 8:00 A.M. Monday through Saturday, and 10:30 A.M. on Sunday, or after dark except when trap shoots are scheduled at night.
- No shooting at targets other than on proper backers placed in frames.
- The observation of safe shooting and conduct is imperative.
- Weapons should not be handled when a person is down range, and the action should be open.
- Empty cases should be picked up.
- Targets and backers should be placed in containers when not in use.
- Glass is not to be used as a target.
- The designated Range Safety Officer has full control of range.
- Shoot only at proper targets on proper backers.
- Always sign in before using a range.
- No alcoholic beverages on ranges.
PISTOL RANGES # 2 & 5
- No rifles are to be used on the pistol ranges.
- Paper targets are to be used on backers only, placed in the center of the backer.
- Anyone found to be deliberately firing at the target supports, or other willful destruction of club property will be asked to leave and will be reported to the Board of Directors for disciplinary action.
- Hand guns using high power rifle calibers are to be fired on the rifle ranges.
50 AND 100 YARD AND 50 FT. RIFLE RANGES
- Loading of rifles is limited to one cartridge at a time except when shooting a DCM High Power Match or organized practice.
- Targets are not to be placed in mid-range.
- Paper targets are to be used on backers only.
- No sitting, standing or lying on tables.
- Handguns using high power rifle calibers are to be fired on the rifle ranges.
- All actions are to be open when someone is downrange.
PLINKING RANGE
- The use of semi-automatic rifles or other multiple type actions is restricted to the Plinking Range. Semi-automatic weapons should not be left unattended.
- No firing from the road or from behind the asphalt strip on the firing point area.
- Glass is not to be used as a target.
MUZZLE LOADING RANGE
- No smoking at the firing line or loading stations.
- Prime or cap at the firing line only.
- Keep muzzle up when moving from the loading station to the firing line.
- Use powder measure when charging gun. Do not pour directly from the horn, canister or flask.
- Keep all powder containers closed and out of direct sunlight.
- Flintlock shooters watch and warn the person on your touchhole side before firing.
- Obey all other range safety rules.
ARCHERY RANGE # 4
- Never nock an arrow or draw a bow if someone is in front of you.
- Never release an arrow without being able to see its full path to the target.
- Never use imperfect equipment.
- No firearms are to be used on the range.
TRAP RANGE
- No rifles or handguns are to be used on the ranges.
- Standard clay birds, only, are to be used on the trap ranges.
- Hand trap shooting is restricted to designated areas.
- Do not start shooting until all shooters are at their posts.
- Do not load your gun until the second shooter ahead of you has shot.
- Do not move from one post to another with a loaded gun.
- Always walk behind the shooters when moving from number five post to number one post.
- Do not aim at another shooter's target.
- Do not do anything to distract the shooter.
- Remain at your post until all shooters are finished.
- In the event of a "hang fire" keep your gun closed and pointed over the trap range for at least ten seconds.
- Leave your gun open when walking to and from the trap.
- Do not use guns with Damascus or laminated barrels.
POND AND STREAM
- A Pennsylvania fishing license is required if fishing pond or stream.
- No throwing stones in the pond.
- No wading in the stream at any time.
- No removal of fish bait or bait fish.
- No use of minnows of any type in the pond for bait.
- No boats permitted on the pond.
- Pond limits and opening date to be set annually.
